Company Secretary – Corporate Law & Compliance

About the role

We are seeking a qualified Company Secretary to provide legal and compliance support to our management team in Kathmandu. The role involves ensuring adherence to Nepalese corporate laws and handling a range of legal documents and corporate governance matters.

Key responsibilities

• Provide legal and compliance support to management and various departments.
• Ensure compliance with Nepalese corporate laws, regulations and regulatory requirements.
• Review, draft and manage contracts, agreements, MOUs and other legal documents.
• Maintain corporate records, statutory documents, licences and compliance calendars.
• Coordinate with OCR, government authorities, regulators and external legal counsel.
• Support litigation, dispute management, legal notices and regulatory matters.
• Assist in corporate governance, board matters and statutory filings.

Required profile

• LL.B. from a recognized university.
• 3–5 years of experience in corporate law, legal compliance, company law or a related field.
• Prior experience working in a corporate or public limited company.

Required skills

• Strong knowledge of Nepalese corporate and commercial laws.
• Legal drafting and contract review.
• Compliance and regulatory management.
• Proficiency in Nepali and English.
