Legal Assistant Manager – Compliance & Governance

About the role

We are seeking a Legal Assistant Manager to lead compliance, corporate governance, and statutory responsibilities for a well‑established manufacturing company. The role involves close collaboration with the Board, senior management, shareholders, regulators, and external counsel to ensure timely and accurate legal compliance.

Key responsibilities

• Ensure adherence to the Company Act, corporate laws, and regulatory standards.
• Monitor legislative changes and implement necessary statutory filings.
• Manage company registration, annual returns, and other statutory documentation.
• Organise and facilitate Board and shareholder meetings, preparing minutes, resolutions, and action points.
• Maintain secure custody and digitisation of corporate documents such as Articles of Association and agreements.
• Act as liaison between the Board, management, shareholders, regulators, and external legal advisors.
• Advise on corporate governance, compliance requirements, and potential legal risks.
• Respond to regulator queries and provide required documentation.
• Prepare regular compliance, governance, and risk management reports for senior management.

Required profile

• Bachelor’s or Master’s degree in Law (LLB/LLM) or equivalent qualification.
• Minimum 5 years of experience in legal and compliance roles within trading or manufacturing companies.
• Strong knowledge of Nepalese corporate laws, regulatory requirements, and compliance procedures.
• Excellent documentation, communication, coordination, and analytical abilities.
• Ability to handle confidential and sensitive corporate information.

Required skills

• Proficiency in MS Office.
• Experience with digital document management systems.
