Mergers & Acquisitions Attorney (Remote)

About the role

We are seeking an experienced Mergers & Acquisitions Attorney to join a leading technology and internet company on a contract basis. The position is fully remote, allowing you to work from anywhere while providing legal support for high‑value transactions.

Key responsibilities

• Draft, negotiate and finalize purchase agreements, asset purchase agreements and stock purchase agreements.
• Conduct comprehensive legal due diligence on target companies to uncover risks and liabilities.
• Advise on corporate governance, securities laws and regulatory compliance throughout the M&A process.
• Collaborate with finance, operations and executive teams to structure and execute deals.
• Support post‑merger integration, restructuring and related legal documentation.

Required profile

• Juris Doctor (JD) from an accredited U.S. law school and active bar membership in any U.S. jurisdiction.
• Minimum five years of hands‑on experience in M&A transactions, including domestic and cross‑border deals.
• Proven ability to draft and negotiate complex transactional documents.
• Strong understanding of SEC filing requirements and securities regulations.
