Legal Officer – Corporate Governance & Compliance

About the role

Professional Holding Limited (PHL) is seeking a motivated Legal Officer to join its Legal & Compliance department in Kathmandu. The role supports corporate governance, legal documentation, and regulatory compliance for the company.

Key responsibilities

• Provide corporate governance support and assist the Board of Directors.
• Draft, review, and finalize contracts and other legal documents.
• Offer legal advice and ensure compliance with relevant regulations.
• Prepare and file OCR documents and manage company administration tasks.
• Coordinate with government authorities and external legal counsel.
• Handle litigation documentation and support external counsel.
• Prepare AGM notices, minutes, and ensure post‑AGM compliance.

Required profile

• LLB from a recognized university.
• Valid Advocate License issued by the Nepal Bar Council (mandatory).
• Minimum 1 year of experience in corporate law, company secretarial work, or related legal documentation.
• LLM in Corporate/Commercial Law is an advantage.

Required skills

• Strong typing skills in Nepali (Preeti and/or Romanized Unicode) and English.
