Mergers & Acquisitions Attorney (Remote)

About the role

We are seeking an experienced Mergers & Acquisitions (M&A) Attorney to join a leading technology and internet company on a contract basis. The role is fully remote and focuses on providing legal expertise for high‑impact transactions, including mergers, acquisitions, and divestitures.

Key responsibilities

• Draft, negotiate, and finalize M&A transaction documents such as purchase agreements, asset purchase agreements, and stock purchase agreements.
• Conduct comprehensive legal due diligence on target companies to identify risks and liabilities.
• Advise on corporate governance, securities laws, and regulatory compliance related to M&A deals.
• Collaborate with finance, operations, and executive teams to structure and execute transactions.
• Provide guidance on post‑merger integration and restructuring to ensure smooth transitions.

Required profile

• Juris Doctor (JD) from an accredited U.S. law school and active bar membership in any U.S. jurisdiction.
• Minimum 5 years of experience handling M&A transactions, with strong knowledge of corporate and securities law.
• Proven ability to draft and negotiate complex legal documents.
• Experience with both domestic and cross‑border M&A transactions.
